Welcome to the website of Quanzhou Kairui Trading Co., Ltd. (“KAIRUI”, “we”, “our”, “us”). By accessing or using our website (kairuitrade.com), submitting an inquiry, or placing an order, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.
1. Use of Website
You may use our website to learn about our products, request quotes, and contact us. You agree not to misuse the website, interfere with its operation, or violate any applicable laws.

3. Orders & Contract Formation
Submitting an inquiry or a purchase order via our website does not automatically constitute a binding contract. A contract between you and KAIRUI shall only be formed when:
- We issue a Proforma Invoice (PI) specifying the products, quantity, price, delivery terms, and payment terms; and
- You make the required down payment (typically 30% by T/T) as stated in the PI, and we confirm receipt in writing (email or WhatsApp).
We reserve the right to refuse any order for any reason, including but not limited to stock unavailability, pricing errors, or credit concerns.
4. Pricing, Currency, and Taxes
All prices quoted are in US Dollars (USD) unless otherwise stated. Prices are exclusive of VAT, customs duties, and any other taxes or import fees. The buyer is solely responsible for any such taxes or fees. Quotations are valid for 30 days from the date of issue, after which they may be subject to change.
5. Payment Terms
Unless otherwise agreed in writing, payment terms are:
- 30% deposit by T/T (bank wire) upon Proforma Invoice confirmation;
- 70% balance against copy of Bill of Lading (B/L) before shipment, or L/C at sight for qualified buyers.
All bank charges are to be borne by the respective party (sender pays own bank fees). For T/T payments, please ensure the remittance reference matches the PI number. KAIRUI is not responsible for delays caused by payment processing.
6. Shipping, Delivery & Incoterms
Delivery terms are specified in the Proforma Invoice, typically FOB Xiamen (Incoterms 2020). Risk of loss or damage passes to the buyer upon delivery of goods to the named port of shipment. Estimated delivery dates are for reference only and are not guaranteed. We are not liable for delays caused by customs clearance, carrier issues, or force majeure events.
7. Inspection, Acceptance & Claims
Buyer shall inspect the goods immediately upon receipt. Any claims for shortage, damage, or non-conformity must be submitted in writing within 14 calendar days of receipt, accompanied by photographic evidence and a detailed description. For latent defects not discoverable upon reasonable inspection, claims must be submitted within 30 calendar days of receipt.
Failure to give notice within the specified periods shall constitute irrevocable acceptance of the goods and a waiver of any related claims. In the event of a valid claim, at our option, we may replace the defective goods or issue a credit note. We shall not be liable for any consequential damages.
8. Returns, Refunds & Cancellation
Customized products (including private label, custom packaging, or logo printing) are non-returnable and non-refundable. For standard (neutral) products, returns may be accepted only with our prior written consent. If accepted:
- The buyer shall return the goods at their own expense, in original condition and packaging.
- A restocking fee of 30% of the invoice value will be deducted from any refund.
- Refunds will be processed within 30 days after we receive and verify the returned goods.
Order cancellations after the deposit has been paid are subject to a cancellation fee covering incurred costs (materials, production, etc.), which may be up to 100% of the deposit depending on the production stage.
9. Force Majeure
Neither party shall be liable for any delay or failure in performance caused by events beyond their reasonable control, including but not limited to: acts of God, war, terrorism, riot, embargo, government actions, pandemic/epidemic (including COVID-19), labor strikes, port closures, raw material shortages, fire, flood, or failure of subcontractors. The affected party shall notify the other promptly and shall use reasonable efforts to mitigate the delay. Performance times shall be extended for the duration of the force majeure event.
10. Limitation of Liability
To the maximum extent permitted by law, KAIRUI’s total cumulative liability arising out of or relating to these Terms or any order, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by the buyer for the specific order giving rise to the claim. In no event shall KAIRUI be liable for any indirect, incidental, special, or consequential damages (including lost profits, loss of data, or business interruption).
This limitation does not apply to claims for death or personal injury caused by our gross negligence, or fraud.
11. Intellectual Property
All content on this website (text, images, logos, product designs) is the property of KAIRUI or its licensors and is protected by copyright laws. You may not reproduce, distribute, or create derivative works without our prior written permission. Any logos, artwork, or designs submitted by the buyer for custom orders remain the buyer’s property, and the buyer grants KAIRUI a non-exclusive, royalty-free license to use such materials solely for the purpose of fulfilling the order.
12. Dispute Resolution & Governing Law
These Terms shall be governed by the laws of the People’s Republic of China, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or any order shall be settled by arbitration administered by the Quanzhou International Trade Arbitration Commission in accordance with its Arbitration Rules then in effect. The place of arbitration shall be Quanzhou, Fujian. The language of arbitration shall be English. The arbitral award shall be final and binding on both parties, and may be enforced in any court of competent jurisdiction.
13. Entire Agreement & Amendment
These Terms, together with the Proforma Invoice and any written amendments signed by both parties, constitute the entire agreement between you and KAIRUI with respect to the subject matter. Any prior agreements, representations, or communications are superseded. We may update these Terms from time to time; the latest version will be posted on this page with the “Last Updated” date. Continued use of the website after changes constitutes acceptance.
14. Severability & Waiver
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not be deemed a waiver of such right or provision.
15. Electronic Communications
You consent to receive electronic communications from us (via email or WhatsApp) regarding your inquiries, orders, and these Terms. You agree that all agreements, notices, and disclosures provided electronically satisfy any legal requirement for writing.
